Business Formation  

We are sensitive to the special needs of new and developing businesses.  We will work with entrepreneurs from their start-up through various stages of finance, development and growth as a business.  At their formation, business owners first must decide whether to operate as a corporation, limited liability company, partnership, or possibly a 501(c)(3) organization.  We work along with the client’s accountant in order to choose the best form of organization for each individual client.  Due to our years of experience in this area, we are able to assist in establishing the new business organization quickly and efficiently.  After our client’s new business is formed, we will assist in navigating the numerous legal matters that business owners face in today’s competitive business environment.

Commercial Transactions

Baumgartner Attorneys PC provides assistance to business owners in negotiating, drafting, interpreting, and enforcing business contracts and securing our client’s interests through secured transactions.  Other agreements that we assist our business clients in completing include employment agreements, non-competition agreements, and commercial leases.

Business Succession Planning

Family businesses that were painstakingly built over the years need to have a sound legal plan for their transfer to the next generation.  Nearly one-third of family businesses do not successfully make the transition to the second generation, and many more are unable to successfully pass the family business on to additional generations.  It is important to identify the correct individual or individuals to entrust with assuming the leadership in business, and to implement an equitable transition among other family members (who may or may not be involved in day-to-day operations of the business) in order to not only help the business survive, but in order to retain as much family harmony as possible.  We are able to assist our business clients in navigating these difficult situations and to reduce the impact of transfer taxes by the use of planned lifetime gifts or sales, company / owner buy-sell agreements, and proper estate planning.
